In Alberta, a Guarantees Acknowledgment Act (GAA) Certificate is a unique and mandatory legal requirement designed to protect individuals from the severe risks of personal guarantees. The Alberta legislation is intended to ensure that an individual cannot unknowingly sign away their personal assets to cover another person's or corporation’s debt. Without a GAA Certificate, a personal guarantee is generally considered void and unenforceable in an Alberta court, leaving the lender with no legal recourse against the guarantor.

The primary intended purpose of a GAA Certificate is to serve as a consumer protection mechanism. It forces a moment of reflection by requiring the guarantor to appear before a lawyer to discuss the document. During this meeting, the lawyer must perform a formal examination to confirm the guarantor properly understands the nature of the obligation they are assuming. This process precludes individuals (who may be acting under pressure from friends, family, or business partners) from blindly entering into financial commitments that could lead to personal bankruptcy or significant financial distress.

From a procedural standpoint, the rules are strict. The guarantor must meet with the lawyer (in-person or remotely, by video link), with notaries not being permitted to execute a GAA Certificate. The lawyer explains the specific risks (such as the fact that the guarantor is "on the hook" for the full amount if the primary debtor defaults) and then both the lawyer and the guarantor must sign the GAA Certificate. This legal document is then physically attached to the guarantee as conclusive proof of compliance.

Obtaining a GAA certificate is as much about protecting the lender as it is the guarantor. For lenders, ensuring the GAA process is followed to the letter is a critical part of their due diligence; failure to do so can render their security worthless.
